On January 27, 2026, the company's indirectly wholly-owned subsidiary, Lichi (Hong Kong) Limited (Lichi Hong Kong), entered into an equity transfer agreement with Xiamen Yiyue Real Estate Co., Ltd. (Yiyue).

Pursuant to the agreement, Yiyue agreed to sell, and Lichi Hong Kong agreed to purchase, a 25% equity interest in Xiamen Zhaohui Network Technology Co., Ltd. (Xiamen Zhaohui).

The total consideration under the equity transfer agreement is RMB 14.8918 million.

As of the date of this announcement, Xiamen Zhaohui is a non-wholly-owned subsidiary of the company, held 75% by Xiamen Yirui Investment Management Co., Ltd. (Xiamen Yirui, an indirectly wholly-owned subsidiary of Lichi Hong Kong) and 25% by Yiyue.

Upon completion of the acquisition, the company will indirectly hold the entire equity interest in Xiamen Zhaohui.

Xiamen Zhaohui will become a wholly-owned subsidiary of the company.

Xiamen Zhaohui is a technology services company focused on smart community services, providing solutions related to intelligent design, intelligent engineering, smart communities, and smart home services.

In recent years, the Group has been consistently expanding the scope and scale of its smart community services business.

Considering that Xiamen Zhaohui's primary business is a significant component of the Group's community value-added and synergistic services, the acquisition, which will make it an indirectly wholly-owned subsidiary, is expected to enhance the efficiency of the Group's operational decision-making, reduce management costs, and optimize the resource allocation for Xiamen Zhaohui.

This move is conducive to the long-term development of both Xiamen Zhaohui and the Group's business.

The business operations and management of Xiamen Zhaohui will remain consistent and stable.
