Great China Holdings (Hong Kong) Limited reported that all eight ordinary resolutions put to shareholders at the 5 June 2026 annual general meeting were approved by poll, with 2.19 billion votes (100.00%) cast in favour of each motion. The votes represented approximately 55.23% of the 3.98 billion shares in issue, according to Tricor Investor Services Limited, the appointed scrutineer.
The meeting endorsed: • Adoption of the 2025 audited financial statements and accompanying reports. • Re-election of Mr. Li Zhizhen as non-executive director. • Appointment of Mr. Kam Eddie Shing Cheuk as independent non-executive director (INED). • Authorisation for the board to set directors’ remuneration. • Reappointment of Forvis Mazars CPA Limited as external auditor with board-approved fees. • Granting of a general mandate allowing the board to issue new shares up to 20% of existing share capital, repurchase shares up to 10%, and extend the issuance mandate by the amount of shares repurchased.
Board changes became effective at the close of the AGM. Mr. Wang Charles Hongxin retired as INED and stepped down from the audit, remuneration and nomination committees to focus on personal commitments. Mr. Kam Eddie Shing Cheuk joined the board and the same three committees as a newly appointed INED.
Following these changes, the board now comprises two executive directors (Mr. Huang Shih Tsai, Chairman; Ms. Huang Wenxi, CEO), one non-executive director (Mr. Li Zhizhen) and three independent non-executive directors (Mr. Cheng Hong Kei, Mr. Leung Kwan Hermann, and Mr. Kam Eddie Shing Cheuk).
