BJ HEALTH (02389) announced that on May 29, 2026, its indirect wholly-owned subsidiary, United Win International Corporation (United Win), entered into a share purchase agreement with the seller to acquire all issued share capital of a target company. The core asset of the target company is a 40% equity stake in Beijing Zhongtian Sports Development Co., Ltd. (Zhongtian Sports). Upon completion of the transaction, the group will formally enter China's sports and digital sports industry, strengthening its strategic positioning in related fields. Zhongtian Sports is a limited liability company registered in China, primarily held 40% by the target company and the Chinese Athletics Association respectively. The company focuses on authoritative credibility as its core, with a digital technology platform as its foundation, driven by both "industry and capital," to build a sports industry ecosystem platform, striving to become a service provider for public sports life and an enabler for the industry. Zhongtian Sports' core business is centered on empowering through digital technology, covering six major sectors: digital technology, sports brokerage, youth education and training, certification services, event services, and sports health, working together to build a comprehensive sports industry service system and forming a trinity digital sports supervision and service ecosystem involving "government-enterprise-users." The board believes that this acquisition is a significant move for the group to enter the high-growth sports services and digital technology track, aligning closely with the national "Healthy China" and "Sports Power" strategies as well as the group's "Great Health" mission. The group's business will extend from the traditional "medical care + elderly care" to "active fitness + health management," constructing a full life-cycle health service loop covering "prevention-treatment-rehabilitation."
