中国天保集团（股票代码：01427，主要在香港联合交易所主板上市）宣布，就其股份购回事项将于2026年5月21日举办股东周年大会，计划授权董事于有效期内回购不超过公司已发行股份总数10%的股份。
根据公告，截至最后可行日期，公司已发行股份总数为877,936,000股。若相关决议案在股东周年大会上获得通过且期间无进一步发行或购回股份，公司最多可回购87,793,600股，相当于已发行股份的10%。
公司称，将根据开曼群岛公司法及香港联合交易所有限公司证券上市规则，以合法可动用资金作为回购资金来源。董事会认为，这项购回授权有助提升每股资产净值及每股收益，并符合公司及全体股东的最佳利益。
公告资料显示，过去十二个月（自2025年4月至2026年4月），公司股份在港交所的最高及最低交易价格分别约为每股0.28港元和0.092港元。公司亦提示，股东周年大会定于2026年5月21日举行，并将于2026年5月18日至5月21日（含首尾两日）暂停办理股份过户登记。已持股的投资者可在上述大会前办理股份过户和相关登记。董事会表示，将在审慎考虑市场条件和公司资金状况的前提下行使购回授权，并继续关注相关市场动态。
