LH Group plans 10 June 2026 AGM; seeks 20% share-issue mandate, 10% buy-back limit and adoption of revised Memorandum & Articles

LH Group has convened its 2026 annual general meeting for 3:30 p.m. on 10 June at the Hong Kong Playground Association’s I+Plus Development and Exchange Centre in Mong Kok. Shareholders will first receive the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports.

Key ordinary resolutions include the re-election of Executive Director Ko Sau Chee Grace and Independent Non-executive Director Hung Wai Man, and authorisation for the board to set directors’ remuneration. PricewaterhouseCoopers is nominated for another term as external auditor, with its fee to be fixed by the board.

The board is also asking for: • A general mandate to allot and issue new shares up to 20% of the company’s issued share capital, exclusive of treasury shares. • Authority to repurchase shares on the open market up to 10% of issued capital. • An extension of the share-issue mandate by the number of shares that may be repurchased under the buy-back mandate.

Both mandates will run from the AGM date until the earlier of next year’s AGM, expiry of statutory deadlines, or shareholder revocation.

A special resolution seeks shareholder approval for a second amended and restated Memorandum and Articles of Association, incorporating the amendments outlined in the circular dated 19 May 2026.

For voting eligibility, the register of members will be closed from 5 June 2026 to 10 June 2026 inclusive, with 4:30 p.m. on 4 June 2026 set as the deadline for share transfers. Proxy forms must reach Computershare Hong Kong Investor Services by 3:30 p.m. on 8 June 2026.

At the date of notice, the board comprises Executive Directors Wong Kit Lung Simon and Ko Sau Chee Grace, and Independent Non-executive Directors Sin Yat Kin, Hung Wai Man and Mak Kam Chiu.
