CBK Holdings Limited has called its Annual General Meeting for 1:00 p.m. on 24 September 2026 at 7/F Wheelock House, Central, Hong Kong.

Key resolutions to be tabled are as follows:

1. Financial Statements • Shareholders will be asked to receive and approve the audited consolidated financial statements and the directors’ and independent auditor’s reports for the financial years ended 31 March 2025 and 31 March 2026.

2. Board Composition and Remuneration • All retiring directors will stand for re-election on an individual basis. • The Board seeks authority to fix directors’ remuneration.

3. Auditor Re-appointment • Infinity CPA Limited is nominated for re-appointment as external auditor for the year ending 31 March 2027, with remuneration to be set by the Board.

4. General Mandates • Issuance Mandate: Directors request authority to allot and issue new shares up to 20% of the Company’s issued share capital as at the date of the AGM. • Repurchase Mandate: Authority is sought to repurchase up to 10% of issued shares during the mandate period. • Extension Mandate: Conditional on the above two mandates passing, the issuance limit may be increased by the number of shares actually repurchased under the repurchase mandate.

Administrative Arrangements • Shareholders must lodge transfer documents by 4:00 p.m. on 18 September 2026 to qualify for attendance and voting. The register will be closed from 21 to 24 September 2026 (both dates inclusive). • Voting will be conducted by poll in accordance with GEM Listing Rule 17.47(4). • Contingency measures are in place for severe weather; any postponement will be announced on HKEXnews and the Company’s website.

As of the notice date (27 August 2026), the Board comprises four executive directors, one non-executive director and three independent non-executive directors, led by Chairman Tang Chu Ming.
