MemeStrategy, Inc. (the Group) has confirmed a leadership transition effective 1 April 2026: Wesley Ng has resigned as Independent Non-Executive Director (INED), Audit Committee member, Remuneration Committee chairman and Nomination Committee member. The resignation anticipates a potential future collaboration between the Group and CASETiFY, where Mr Ng serves as CEO and Co-founder. He reported no outstanding claims or disagreements with the Board.
Concurrently, the Board appointed Gao Kun, aged 44, as INED, Audit Committee member, Remuneration Committee chairman and Nomination Committee member. Mr Gao co-founded and currently leads Forge (since January 2023) and GGWP (since March 2020), and previously co-founded Crunchyroll and Frappr.com. His background includes doctoral studies in Computer Science at Carnegie Mellon University and dual Bachelor degrees from the University of California, Berkeley.
Key remuneration and tenure terms: • Initial three-year appointment commencing 1 April 2026, subject to rotation and re-election under the Company’s Articles. • Director’s fee set at HK$0.21 million per annum, aligned with market benchmarks and recommended by the Remuneration Committee.
Independence and compliance: • The Board and Nomination Committee verified Mr Gao’s independence against Rule 3.13 of the Hong Kong Listing Rules. • Mr Gao holds no shares in the Company, maintains no ties with core connected persons and reports no other matters requiring disclosure.
