卓正医疗（02677）签订718万元深圳前海办公楼五年租赁协议

卓正医疗控股有限公司（02677）8月13日公告，全资附属公司深圳卓正瑞祥管理咨询有限公司已与深圳前海恒昌科技开发有限公司签署《前海恒昌租赁协议》，租赁位于中国深圳市前海恒昌科技大厦4楼、建筑面积约2,496.14平方米的办公物业，作为集团中国总部使用。

根据协议，租期为五年，自2026年9月1日至2031年8月31日（包括首尾两日）。租金安排如下：

1. 2026年9月1日至2029年8月31日（包括首尾两日），月租金为人民币174,729.80元，并享有8个月免租期； 2. 2029年9月1日至2031年8月31日（包括首尾两日），月租金为人民币183,466.29元，并享有4个月免租期。

承租方需支付相当于两个月租金的可退还按金。依据国际财务报告准则第16号，公司将在财务报表中确认约718万元的使用权资产，该数额相当于租赁期内应付基本租金总额的现值。

香港联交所《上市规则》视该租赁为一次性关连交易。由于上述交易按国际财务报告准则第16号计算的使用权资产价值对应的最高适用百分比率高于0.1%但低于5%，因此只需履行申报及公告义务，豁免发行通函、取得独立财务意见及独立股东批准。

卓正医疗表示，租赁该物业旨在配合业务发展及员工规模扩大对办公空间的需求。公司在协议签订前已对周边可比办公物业的租金和商业条款进行市场调研，认为本次租赁条件公平合理，符合公司及股东整体利益。
