Bright Future Technology Sets 21 May 2026 AGM; Seeks Mandates on Director Re-election, 20% Share Issuance and 10% Buy-back

Bright Future Technology Holdings Limited has issued a proxy form outlining the agenda for its Annual General Meeting scheduled for 3:00 p.m. on 21 May 2026 at No. F201–F203, 2/F., Zhen Ye Tong Chuang Hui, Qian Hai Street, Nanshan District, Shenzhen.

Key matters to be voted on are as follows:

• Financial Statements: Shareholders will consider and adopt the audited consolidated financial statements together with the directors’ and independent auditor’s reports for the year ended 31 December 2025.

• Board Composition: – Re-election of Executive Directors Mr. Yang Dengfeng and Ms. Gao Yuqing. – Re-election of Independent Non-executive Director Mr. Zhao Qiang. – Authorisation for the board to set directors’ remuneration.

• Auditor Appointment: Zhonghui Anda CPA Limited is nominated for re-appointment, with authority granted to the board to determine its fees.

• Capital Authorities: – General mandate permitting directors to allot, issue and deal with new shares up to 20% of the company’s issued share capital as at the AGM date. – Share repurchase mandate authorising buy-backs of up to 10% of issued shares. – Extension of the issuance mandate by the amount of shares repurchased under the buy-back mandate, capped at an additional 10%.

• Governance Update: A special resolution seeks shareholder approval to adopt an amended and restated memorandum and articles of association.

Shareholders wishing to vote by proxy must lodge their completed forms with Tricor Investor Services Limited by 3:00 p.m. on 19 May 2026. Attendance in person remains an option, superseding any prior proxy instruction.
