SMIT: Despatch of Shenzhen Giga Disposal Circular Postponed to 30 June 2026

SMIT Holdings Limited (“SMIT”) has announced a further delay in sending shareholders the circular for its proposed very substantial disposal of the Group’s equity interest in Shenzhen Giga.

The circular—which will include detailed information on the transaction and the notice of an extraordinary general meeting—was originally scheduled for despatch on or before 29 May 2026. SMIT now targets a new deadline of on or before 30 June 2026, citing additional time required to prepare and finalise certain financial information.

Management reiterated that the disposal remains subject to multiple conditions and may or may not proceed. Shareholders and potential investors are therefore urged to exercise caution when dealing in SMIT’s shares or other securities.

The announcement was authorised by Chairman and Chief Executive Officer Huang Xueliang and released in Hong Kong on 29 May 2026. As of that date, SMIT’s Board comprised two executive directors, two non-executive directors and three independent non-executive directors.
