UNITED ENERGY GP (00467) Plans International Offering of USD-Denominated Senior Notes

UNITED ENERGY GP (00467) announced its intention to conduct an international offering of USD-denominated senior notes (the "Notes"). The Notes will be offered exclusively outside the United States to non-U.S. persons in accordance with Regulation S under the Securities Act.

Arqaam Capital Limited, DBS Bank Ltd., Haitong International Securities Co., Ltd., Mashreqbank PSC, and Standard Chartered Bank have been appointed as initial purchasers for the proposed Notes offering.

The pricing of the Notes, including the issue price and interest rate, will be determined through a book-building process coordinated by the initial purchasers. Upon finalization of the Notes' terms, the company and the initial purchasers are expected to enter into a purchase agreement and other ancillary documents related to the Notes.

The company will apply for the listing and trading of the Notes on the International Securities Market of the London Stock Exchange Group. Under the European Union (Withdrawal) Act 2018, the International Securities Market is not a UK regulated market as defined in Regulation (EU) No 600/2014 on financial instruments, as it forms part of UK domestic law.
