China CBS Intl Publishes Circular on Proposed Restructuring, Connected Subscription and Upcoming SGM

On 25 August 2026 China Changbaishan International Holdings Limited (China CBS Intl, 00989) released a detailed circular outlining a multi-layered restructuring initiative and convening a Special General Meeting (SGM).

The circular covers four principal items: 1) a Restructuring Framework Agreement that integrates (i) a new share subscription and (ii) a scheme of arrangement; 2) a connected transaction involving the subscription for, and issuance of, scheme shares under a specific mandate; 3) classification of the above as a “special deal” under Hong Kong listing regulations; and 4) formal notice of the forthcoming SGM where shareholders will vote on the proposals.

Both English and Chinese versions of the document are now available in the “Investor Relations” section of the company’s website (www.chinacbsintl.com) and on the HKEXnews portal (www.hkexnews.hk). Non-registered shareholders will receive a notification by email or post on the publication date and may request printed copies or alter their future communication preferences through Tricor Investor Services Limited, the Hong Kong branch registrar, via the enclosed Change Request Form.
