瀚源控股携手中南大学团队设立4,500万元新能源电池合资公司

瀚源控股（00439）公告，旗下全资子公司深圳科熔拟与中南大学、中南大学资产经营有限公司（下称“中南资产”）及长沙力保科技合伙（有限合伙）（下称“长沙力保”）共同成立一家专注新能源电池技术研发与产业化的合资公司。

合资公司注册资本为4,500万元，其中深圳科熔出资3,000万元现金，持股66.67%；中南资产以专利出资450万元，占股10%；长沙力保以专利出资1,050万元，占股23.33%。专利资产为“宽温域锂电电解质与隔膜核心技术及智能管理系统”等7项核心专利，估值1,506万元。

根据协议，深圳科熔须在合资公司设立起60日内缴付首期出资1,500万元，其余部分在专利权属转移完成前缴清；中南资产和长沙力保将在深圳科熔完成出资后60日内完成专利权人变更至合资公司。

董事会指出，宽温域锂离子电池技术突破正极材料、宽温电解液及复合碳负极等关键壁垒，可在极寒、极热等复杂环境维持性能，降低系统成本并延长电池寿命。合资公司将致力于推动该技术的产业化，并加速在高原、高寒、沙漠、海岛等场景的市场应用。

交易构成香港联交所《上市规则》第14章所列须予披露交易，瀚源控股将持有合资公司66.67%股权并并表其财务业绩。公司认为本次合作能整合各方研发、技术及资本优势，为集团未来技术业务注入新动能。
