Okura Holdings Limited (Okura) has entered into a subscription agreement on 25 May 2026 to acquire Class A interests in HiJoJo US Fund3 LLC for US$4.08 million, funded entirely from internal cash resources.

The fund, launched on 12 March 2026 under Delaware law, is structured to invest exclusively in the securities of a privately held U.S. aerospace and technology company (the “Target Company”). As of the announcement date, no investment has yet been executed.

Key fund economics • One-time management fee: 2 % of the cost basis of Target Company securities held by the fund, payable in advance. • Performance fee: 10 % of net cash available for distribution after expenses. • Distributions: At the Fund Manager’s discretion, subject to terms in the LLC Agreement. • Transfer restrictions: Class A interests may be transferred only with Fund Manager consent or after seven days’ advance written notice.

Strategic rationale Okura’s board cites revenue diversification and more efficient deployment of cash reserves as primary motivations. Participation allows exposure to global securities while leveraging professional management to mitigate direct investment risk. Management affirms the transaction will not impair working capital or operations.

Regulatory classification Based on Chapter 14 of the Hong Kong Listing Rules, the deal’s size—exceeding the 5 % but below the 25 % threshold of applicable percentage ratios—makes it a discloseable transaction, triggering immediate reporting and announcement requirements without shareholder approval.

Corporate background Okura, an investment holding company, operates pachinko and pachislot halls across Japan. HiJoJo Management Company Inc. serves as Fund Manager for HiJoJo US Fund3 LLC. The fund, its manager, and their ultimate beneficial owners are independent third parties to Okura.

Board composition As of 26 May 2026, Okura’s board comprises two executive directors—Chief Executive Officer and Chairman Katsuya Yamamoto and Yutaka Kagawa—and three independent non-executive directors: Kazuyuki Yoshida, Mariko Yamamoto, and Yuji Matsuzaki.
