锦欣生殖医疗集团有限公司（股票代码：01951，上市于香港联合交易所有限公司）在最新公告中透露，已向股东建议授权董事在合规的情况下于合法期间内回购公司股份，规模最高可达已发行股本（不包括任何库存股份及已回购但未注销的股份）的10%。截至最后实际可行日，公司已发行股份总数约为2,705,044,043股，其中35,048,500股已被回购但尚未注销。若大会通过相关决议案且在会议前无进一步发行或回购，公司最多可回购约266,999,554股股份。
公司表示，此次股份回购将根据香港联合交易所有限公司证券上市规则及开曼群岛相关法律规定，使用公司依法可动用的资金进行，回购的股份可能被注销或作为库存股份持有。董事会认为此举有助于提升股东回报及优化公司资本结构，符合公司及股东的整体利益。
公告同时披露，参考公司过去12个月的股价，最高价格为3.70港元，最低价格为2.22港元，实际回购价格将依据公司在市场上的交易行情，由董事会综合考量后确定。公司强调，任何回购交易均不会导致其公众持股量低于最低法定比例25%。
根据公告，该回购授权尚需获得股东在2026年6月25日股东周年大会进行表决并通过。公司提醒股东关注投票安排，并于指定时间前完成股份过户手续后享有投票和收取股息的权利。完成相关法定程序后，回购授权将自股东大会通过之日起至下届股东周年大会结束时或另行撤销、修订之日止有效。
