Concord New Energy to Acquire 120 MW Solar Equipment for Huai’an Project in RMB197.93 Million Deal with CCEB

Concord New Energy Group Limited (Concord New Energy) disclosed that its wholly owned subsidiary, Tianjin Concord Huaxing Wind Power Equipment Co., Ltd., signed a purchase contract with China Construction Eighth Bureau Development Construction Corp., Ltd. (CCEB) after market close on 8 May 2026.

The agreement covers the procurement of photovoltaic equipment—comprising solar modules (Equipment A) and inverters, mounting structures and other ancillary components (Equipment B)—with a combined generation capacity of 120 MW for the Group’s Huai’an project in Jiangsu Province. The total consideration is approximately RMB197.93 million, split into RMB123.21 million for Equipment A and RMB74.72 million for Equipment B.

Payment will be made in tranches: • Equipment A – 10 % advance, 70 % on delivery, 10 % upon acceptance, and 10 % retained as a one-year warranty deposit (substitutable by bank guarantee). • Equipment B – 10 % advance, 20 % pre-delivery, 40 % on delivery, 20 % upon acceptance, and 10 % warranty payment (inverter portion subject to bank guarantee after one year; remaining items refunded on final acceptance).

CCEB must provide an irrevocable performance guarantee equal to 10 % of the contract value within ten business days of contract effectiveness. Warranty terms include 12 years for modules, five years for inverters and two years for other equipment. Delivery of all equipment is scheduled for completion by end-October 2026. Concord New Energy will fund the purchase through internal resources and/or borrowings.

Classified under Chapter 14 of the Hong Kong Listing Rules, the transaction’s highest applicable percentage ratio exceeds 5 % but is below 25 %, rendering it a discloseable transaction that requires public announcement.

The Board stated that the contract pricing was determined through public tender comparison, aligns with prevailing market rates and supports the company’s ongoing strategy of developing photovoltaic power projects in mainland China.
