ZO FUTURE GROUP (02309) announced that on November 7, 2025 (after trading hours), the company, BCL, and SCL entered into a share purchase agreement. Under the agreement, the company agreed to sell, and SCL agreed to purchase, approximately 51.72% of BCL's issued share capital, along with the rights, ownership, interests, and benefits of shareholder loans owed by BCL to the company, totaling approximately £19.2 million. The total consideration for the transaction is around £5 million. The sale is expected to generate a pre-tax gain of approximately HK$246.2 million for the company.
BCL is primarily engaged in the operation and management of BCFC, a wholly-owned subsidiary that runs a professional football club in the UK. BCWFC, another wholly-owned subsidiary of BCFC, also operates a professional football club in the UK.
The board believes the sale will relieve the company of its obligations under relevant agreements and eliminate the need for further financial support to the BCL Group. Additionally, the transaction provides an opportunity for the group to realize its investment in BCL and reallocate financial resources to focus on growth opportunities in the new energy vehicle sector and related businesses.
