Tencent Sets 13 May 2026 AGM; Dividend, Director Re-election and Share Mandates on Agenda

Tencent Holdings Limited has issued the proxy form for its Annual General Meeting scheduled for 13 May 2026 at 3:00 p.m. in the Four Seasons Hotel Hong Kong.

Key resolutions to be put before shareholders include:

• Financial Statements and Reports Shareholders will consider and receive the audited financial statements, the Directors’ Report and the Independent Auditor’s Report for the financial year ended 31 December 2025.

• Final Dividend A final dividend proposal will be submitted for approval.

• Board Composition and Remuneration Re-election of non-executive directors Mr Jacobus Petrus (Koos) Bekker and Mr Ian Charles Stone will be voted on, together with authorisation for the Board to fix directors’ remuneration.

• Auditor Re-appointment The meeting will consider the re-appointment of the incumbent auditor and authorise the Board to determine its remuneration.

• General Mandates Two ordinary resolutions will seek authority for the Board to: 1) issue new shares under a refreshed general mandate, and 2) repurchase shares up to a stipulated limit.

Form of Proxy logistics:

• Eligible shareholders may appoint one or more proxies; a proxy need not be a shareholder. • Completed proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. • Attendance in person supersedes a previously lodged proxy.

Shares of Tencent Holdings Limited are denominated at HK$0.00002 each and trade under stock codes 700 (HKD counter) and 80700 (RMB counter).
