UBS AG Marginally Lifts Stake in Guotai Junan Intl to 7.07% Amid Privatisation Process

Hong Kong, 21 August 2026—Guotai Junan International Holdings Ltd (Guotai Junan Intl) today released a Public Disclosure Form under Rule 22 of the Hong Kong Code on Takeovers and Mergers, detailing a series of share dealings by UBS AG executed on 20 August 2026.

UBS AG, classified as a Class (6) associate of the offeree in the ongoing privatisation by scheme of arrangement, conducted six on-market trades for its own account. Three purchases totalled 22.77 million shares at prices between HK$2.8650 and HK$2.8717, while three sales accounted for 21.30 million shares at HK$2.8621 to HK$2.8652.

The net effect was an incremental acquisition of 1.48 million shares, lifting UBS AG’s holding from 672.59 million shares (approximately 7.06 % of the issued share capital) to 674.07 million shares, or 7.07 %.

The disclosure confirms UBS AG’s continued position as a significant shareholder during Guotai Junan Intl’s privatisation process, with its trades conducted within a narrow price band of HK$2.8621–HK$2.8717 per share.
