International Cement Group AGM clears all agenda items

International Cement Group Ltd. announced that shareholders approved all eight resolutions tabled at the Apr, 24 2026 annual general meeting held in Singapore.

The meeting adopted the fiscal-year 2025 audited accounts, re-elected executive chairman Ma Zhaoyang, executive director Chng Beng Hua, independent director Wong Loke Tan and executive director Peng Bengang, and authorised directors’ fees of about 0.23 million Singapore dollars for FY 2026.

Messrs Deloitte & Touche LLP were re-appointed as external auditors, and directors were empowered to issue new shares representing up to 50 % of the company’s issued capital—of which no more than 20 % may be issued on a non-pro-rata basis—until the next AGM.

All resolutions were passed with at least 99.85 % of votes cast in favour, except the re-election of Wong Loke Tan and the share-issue mandate, which drew 0.03 % and 0.15 % opposition, respectively.

The board reiterated its focus on debt reduction before considering dividend payments and said it will continue to review capital-structure options, including a potential share consolidation.
