BioDlink International (1875) and WuXi XDC Cayman (2268) Jointly Issue Composite Document on Voluntary Conditional Cash Offers

BioDlink International Company Limited (stock code: 1875) and WuXi XDC Cayman Inc. (stock code: 2268) have jointly released a Composite Offer and Response Document dated 12 February 2026. According to the document, Citigroup Global Markets Asia Limited will, for and on behalf of WuXi XDC Cayman Inc. (the “Offeror”), make voluntary conditional cash offers for all issued shares of BioDlink (other than those already owned or agreed to be acquired by the Offeror and its concert parties). The proposed share offer price is HK$4.00 per share.

The Composite Document outlines that the share offer will become unconditional if acceptances are received for no less than 60% of BioDlink’s voting rights. An option offer is also included to cancel all outstanding share options at a price equal to the share offer price minus the respective exercise price.

Irrevocable undertakings have been provided by certain shareholders of BioDlink, agreeing to support the share offer under specified conditions. The Composite Document further states there is no intention by the Offeror to discontinue the listing status of BioDlink on the Stock Exchange of Hong Kong following completion of the offers, provided relevant public float requirements are met. Option holders and shareholders are advised to review the Composite Document and accompanying forms for details of acceptance procedures, key dates, and further terms.
