ENN Energy (2688) – Disclosure of Derivative Dealings Amid Privatisation Scheme

On 6 February 2026, ENN Energy Holdings Limited (2688) issued a public disclosure form regarding its privatisation by way of a scheme of arrangement. Under Rule 22 of the Hong Kong Code on Takeovers and Mergers, the Executive received details of transactions in the company’s securities on 5 February 2026 from Morgan Stanley & Co., International plc, a Class (5) associate connected with the Offeror.

Morgan Stanley & Co., International plc undertook several sales and purchases of derivative products on its own account, all categorized as unsolicited client facilitation. Transaction amounts spanned from approximately HKD 3,408.75 to HKD 1,375,090, with reference prices ranging between HKD 68.15 and HKD 69.10. Volumes in individual dealings ranged from 50 shares to 19,900 shares. Resultant balances after each trade were recorded as zero.

Morgan Stanley & Co., International plc is ultimately owned by Morgan Stanley, and all disclosed activities were conducted for Morgan Stanley & Co., International plc’s own account.
