峰岹科技（深圳）股份有限公司（01304，FORTIOR）7月9日公告称，董事会已决议委任焦倩倩女士为联席公司秘书，生效日期为2026年7月8日。由于焦女士目前未具备香港上市规则第3.28条规定的公司秘书资格，公司已向香港联合交易所有限公司申请并获其有条件豁免严格遵守上市规则第3.28条及第8.17条的要求，豁免期为三年。

焦女士现年31岁，2021年12月加入公司担任证券事务代表，2024年1月26日起出任董事会秘书，并曾在公司上市期间兼任联席公司秘书。她主要负责集团董事会事务、企业管治、信息披露、资本运作、投资者关系及证券事务等。加入公司前，焦女士曾在深圳市安泰科清洁能源股份有限公司、深圳麦格米特电气股份有限公司（002851.SZ）及海默科技（集团）股份有限公司（300084.SZ）任职，并于2016年7月取得中国中南财经政法大学管理学学士学位。

根据豁免条款，在2026年7月8日至2029年7月7日的豁免期间内，焦女士须由马咏仪女士协助；倘若公司严重违反香港上市规则，豁免可被撤销。豁免期结束前，峰岹科技需向联交所证明焦女士已获得足够经验以履行公司秘书职责，方可免于进一步申请豁免。

公告同时确认，公司将安排焦女士在每个财年接受不少于15小时的相关专业培训，以满足香港上市规则第3.29条要求。
