Shenzhou International to Hold 27 May 2026 AGM; Dividend, Director Re-elections and Share Mandates Up for Vote

Shenzhou International Group Holdings Limited will convene its annual general meeting on 27 May 2026 at 10:00 a.m. on the 7th Floor, Office Building, No. 18 Yongjiang Road, Economic Technical Development Zone, Beilun District, Ningbo, Zhejiang Province, PRC.

Key resolutions to be decided on a poll include:

1. Approval of the consolidated audited financial statements and the directors’ and independent auditors’ reports for the year ended 31 December 2025.

2. Declaration of a final dividend for the 2025 financial year.

3. Re-election of executive directors Mr. Guanlin Huang and Mr. Jijun Hu, and independent non-executive director Ms. Feirong Wang.

4. Authorisation for the board to set directors’ remuneration.

5. Re-appointment of Ernst & Young as external auditor and authorisation for the board to determine its remuneration.

6. Granting of a general mandate for the board to allot, issue and deal in shares.

7. Granting of a general mandate for the board to repurchase shares as well as an extension permitting any repurchased shares to be added to the issuance mandate.

Shareholders may appoint the chairman of the meeting or another proxy to vote on their behalf by submitting a duly completed proxy form to Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Completion of a proxy form will not preclude a shareholder from attending and voting in person.
