China New Energy issues 117.95 million new shares at HK$0.173 each, expanding share capital by 20%

China New Energy Limited (trading in Hong Kong as “Zhongke Tianyuan New Energy Limited”) disclosed a 20.0% increase in its issued share capital following completion of a share placement on 15 July 2026.

The company allotted 117.95 million new ordinary shares under its general mandate pursuant to a placing agreement signed on 25 June 2026. The new shares were priced at HK$0.173 apiece, implying gross proceeds of approximately HK$20.41 million.

Post-placement, China New Energy’s issued share count rose from 589.76 million to 707.71 million shares. No treasury shares were outstanding before or after the transaction, and the company reported no share repurchases or on-market treasury share sales during the period.

Management confirmed that the issuance was duly authorized by the board and executed in full compliance with Hong Kong listing rules and all applicable legal and regulatory requirements.
