协合新能源集团有限公司（00182，以下简称“公司”）7月9日公告称，自2026年7月9日起：\n\n1）陈伟获委任为公司独立非执行董事，并出任公司环境、社会及管治委员会（ESG委员会）委员。\n\n2）翟锋辞任公司ESG委员会委员。\n\n根据公告，陈伟现年48岁，持有新加坡国立大学化学博士学位，现任该校终身制教授、大学研究委员会副主席及理学院副院长，并担任苏州华源控股股份有限公司（002787.SZ）独立非执行董事。此前，陈伟曾任新加坡国立大学氢能创新中心副主任，主要从事绿氢制备及储能等技术方向的博士后研究。\n\n陈伟已与公司签订为期三年的独立非执行董事委任函，并将按公司章程及香港联合交易所有限公司证券上市规则在公司股东周年大会上退任及膺选连任。其月度酬金为27,500港元，金额已获公司薪酬委员会及董事会批准。陈伟目前未持有公司任何股份，并已确认符合上市规则第3.13条所规定的独立性。\n\n在董事会及ESG委员会成员调整后，ESG委员会成员包括：刘建红（主席）、方之熙、蔡斌及陈伟。\n\n截至本公告日期，公司董事会由13名董事组成，其中执行董事6名、非执行董事1名、独立非执行董事6名。
