TIANJUDIHE Renews RMB8.00 Million API Service Pact with JD.com Subsidiary

Tianju Dihe (Suzhou) Technology Co., Ltd. (TIANJUDIHE) has signed a new API Interface Service Agreement with Jiangsu Jingdong Xuke Information Technology Co., Ltd., an indirect wholly owned unit of JD.com. The one-year contract, effective from 1 April 2026 to 31 March 2027, extends the existing arrangement that expires on 31 March 2026.

Under the renewed deal, TIANJUDIHE will continue supplying API connections that allow JD.com platform users to top-up mobile accounts. The annual transaction cap remains unchanged at RMB8.00 million for the year ending 31 December 2026 and RMB2.80 million for the first quarter of 2027.

Historical billings for the service were RMB4.91 million in 2022, RMB5.06 million in 2023, RMB5.33 million in 2024 and RMB2.37 million in 2025. Management attributed the 2025 drop to a temporary budget adjustment at Jingdong Xuke.

Pricing follows a cost-plus model benchmarked against prevailing market rates and comparable third-party transactions. As the highest applicable percentage ratio is below 5%, the arrangement is classified as a continuing connected transaction requiring announcement and annual review but not independent shareholder approval under HKEX Listing Rule 14A.76(2)(a).

Internal controls include semi-annual monitoring of transaction values, annual reviews by the board, internal audit oversight, external auditor confirmation of pricing compliance and scrutiny by independent non-executive directors. No board member abstained from voting on the renewal.

The company views the collaboration with JD.com as a means to deepen market penetration and secure a steady revenue stream while leveraging JD.com’s large user base.
