2026年8月21日，广和通(00638)发布公告称，公司拟以现金方式收购深圳市航盛电子股份有限公司11,901.5321万股股份，占航盛电子总股本的37.16%；同时通过签署一致行动协议合计取得航盛电子51.40%的表决权。本次交易完成后，航盛电子将成为广和通的控股子公司。
根据公告，本次交易不涉及发行股份及募集配套资金。交易构成《上市公司重大资产重组管理办法》规定的重大资产重组，实施仍需股东大会审议通过，并依照相关法规完成后续批准或备案程序。
广和通已就本次交易完成加期审计及财务数据更新，并于2026年8月18日收到国家市场监督管理总局出具的《经营者集中反垄断审查不实施进一步审查决定书》。
自2026年3月24日首次披露筹划重组以来，广和通已先后发布多份进展公告，并在2026年6月29日、8月7日召开的董事会会议上审议通过了交易方案及相关报告书（草案）修订稿。公司及各中介机构正在推进后续工作。
