Geotech Holdings Ltd. (the “Company”) has announced that its auditor, Grant Thornton Hong Kong Limited, resigned effective November 21, 2025. The Company cited Grant Thornton’s determination that continuing its association with the Company would conflict with its ethical responsibilities, as the U.S. Department of the Treasury’s Office of Foreign Assets Control designated a former executive director and controlling shareholder of the Company in connection with alleged criminal activities.
Grant Thornton confirmed there are no additional matters to bring to shareholders’ attention. Both the Board of Directors and the audit committee affirm there is no disagreement with the auditor and no further information requiring disclosure. The Company plans to identify new auditors to fill the vacancy and will provide updates as appropriate.
