TUHU-W (TUHU Car Inc.) has reported two capital-structure moves dated 20 August 2026 under its latest Next Day Disclosure Return:

1. Share repurchase and cancellation • Volume: 5.19 million Class A weighted voting right (WVR) ordinary shares, equal to 0.63% of the Class A share base as of 31 July 2026. • Average repurchase price: HKD 12.6255 per share, implying a cash outlay of roughly HKD 65.48 million (about USD 8.36 million). • The repurchased shares were cancelled on the same day.

2. Internal share conversion • Volume: 425,118 Class B WVR shares converted into an equal number of Class A WVR shares, representing 0.05% of total issued shares before the conversion. • This reduced Class B shares to 67.49 million and raised Class A shares by the same amount.

Post-transaction capital position (20 August 2026) • Class A shares: 755.86 million • Class B shares: 67.49 million • Total issued shares: 823.35 million, down from 828.54 million on 31 July 2026.

There were no outstanding treasury shares, and no shares have been repurchased but not yet cancelled. All actions were authorised by the board and executed in compliance with Hong Kong Stock Exchange listing rules, according to Joint Company Secretary Chen Zhe.
