BeOne Medicines Updates 2018 ESPP: 62,473 ADSs Purchased by 4,590 Employees

BeOne Medicines Ltd. (BeOne) reported the final results of its Sixth Amended and Restated 2018 Employee Share Purchase Plan (2018 ESPP) covering the six-month offering period from 2 March to 31 August 2026.

A total of 62,473 American Depositary Shares (ADSs), equal to 812,149 ordinary shares, were bought by 4,590 eligible employees through payroll deductions amounting to USD 17.09 million. The purchased shares account for approximately 0.05 % of BeOne’s issued share capital and represent 93.77 % of the 866,073 new shares available for this offering cycle.

Participants acquired the ADSs at USD 267.21 per ADS (HKD 161.15 per ordinary share), reflecting the plan’s 15 % discount to the lower of the Nasdaq closing prices on the first (USD 314.36) and last (USD 359.58) trading days of the period.

The company confirmed that no participants fall under director, chief executive, substantial shareholder, related-entity participant, or service-provider categories stipulated by Hong Kong Listing Rules. Grants carry no performance targets or clawback provisions, aligning with customary market practice.

Following this tranche, 4.82 million ordinary shares remain available under the shareholder-approved mandate for future ESPP grants. BeOne stated that continuing the ESPP enhances employee retention and strengthens alignment between staff and shareholder interests.
