QINGCI GAMES Schedules 2026 AGM; Seeks 20% Share Issuance Mandate, 10% Buy-Back Authority and Charter Update

Qingci Games Inc. will convene its 2026 annual general meeting (AGM) on 9 June 2026 at 10:30 a.m. (local time) at its Xiamen headquarters (5th Floor, 33 Wang Hai Road, Xiamen Software Park II, Fujian). Shareholders recorded on or before 3 June 2026 (register closed 4–9 June) are eligible to attend and vote; proxy forms must reach Computershare Hong Kong Investor Services by 10:30 a.m. on 7 June 2026.

Key agenda items:

1. 2025 Financial Statements & Reports • Shareholders will vote on adoption of the audited consolidated financial statements and directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition & Remuneration • Re-election of executive directors Mr Yang Xu and Mr Huang Zhiqiang, and independent non-executive director Ms Fang Weijin. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Re-appointment • Proposal to re-appoint BDO Limited as external auditor and authorise the board to fix its fee.

4. General Mandate to Issue Shares • Directors seek authority to allot and issue, or sell from treasury, additional ordinary shares up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. • The mandate also covers the grant of options, warrants or convertible securities within the same limit.

5. Share Buy-Back Mandate • Management requests approval to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges, subject to Listing Rules and Cayman Islands law.

6. Extension of Issuance Mandate • Conditional on the above mandates passing, the share issuance limit may be extended by the number of shares actually repurchased under the buy-back mandate, effectively allowing up to an additional 10% issuance headroom.

7. Adoption of Amended & Restated Memorandum and Articles • Shareholders will vote on replacing the existing constitutional documents with an updated version, granting directors authority to finalise the implementation.

Board composition (as of the notice date): Executives Mr Yang Xu, Mr Huang Zhiqiang, Mr Liu Siming and Mr Zeng Xiangshuo; Independent Non-executives Professor Lam Sing Kwong Simon, Mr Yuan Yuan and Ms Fang Weijin.

All resolutions will be decided by poll, with results disclosed on the HKEX and company websites following the meeting.
