Changan Minsheng APLL Logistics Co., Ltd. (CMA LOGISTICS) announced that shareholders approved every one of the 12 resolutions tabled at the 2025 Annual General Meeting (AGM) held on 30 June 2026 in Chongqing. Voting was conducted by poll, with 152.88 million shares (100 % of votes cast) supporting each item except the election of two non-executive directors, which still passed with 99.98 % approval.
Key AGM Outcomes 1. Dividend: A final dividend of RMB 0.10 per share for FY 2025 was endorsed. H-share transfer registration will be suspended from 7 July to 10 July 2026 (record date: 10 July). Dividend cheques—HKD 0.114995 per share, based on an exchange rate of HKD1:RMB0.869602—are scheduled for mailing on or about 31 August 2026. A 10 % PRC enterprise income-tax withholding applies to non-resident enterprise shareholders; individual foreign investors are exempt.
2. Auditor: Grant Thornton Zhitong Certified Public Accountants LLP was re-appointed for FY 2026.
3. Board Composition: Shareholders elected Mr. Gong Yongming and Mr. Lu Zhongwu as non-executive directors effective immediately through the end of the sixth board term. Mr. Gong was simultaneously named to the Board’s Audit and Risk Committee.
4. Corporate Actions: • Fixed Assets Investment Plan for 2026 received unanimous approval, authorising the Board to adjust the plan as needed. • Two framework agreements with Tianjin Lugang Logistics covering the provision and purchase of logistics services for 2026 were approved, with annual caps of RMB 74.00 million and RMB 71.00 million, respectively; the 16.03 % shareholder Continental Harbour Union abstained from voting on these items. • Special resolutions endorsing a proposed change of company name and corresponding amendments to the Articles of Association passed with 100 % support; effectiveness awaits regulatory registration and Stock Exchange confirmation.
