Impro Precision Industries Limited reported that every motion tabled at its Annual General Meeting on 26 May 2026 was approved by wide margins, confirming strong shareholder support for management and strategic mandates.
The audited financial statements for the year ended 31 December 2025 were adopted with 1.63 billion votes in favour, representing 99.99 % of the votes cast.
Director elections and remuneration • Executive Directors re-elected: Mr. Lu Ruibo (97.90 % support), Mr. Wang Dong (98.69 %), and independent non-executive Director Mr. Lee Siu Ming (99.97 %). • The Board’s authority to set Directors’ remuneration received 98.26 % approval.
Auditor re-appointment Shareholders re-appointed the existing auditor with 1.63 billion votes (99.99 %) and authorised the Board to determine its fees.
Share issue and buy-back mandates • Share repurchase mandate: 1.63 billion votes (100 %) in favour. • General mandate to issue new shares (including the sale or transfer of treasury shares): 1.45 billion votes (88.70 %) in favour. • Extension of the issue mandate by the number of repurchased shares: 1.43 billion votes (87.60 %) in favour.
Capital base and voting logistics As at the meeting date, Impro Precision had 1.89 billion issued shares, all of which were eligible to vote. No treasury shares were held, and no shareholder was required to abstain from any resolution. Voting was conducted by poll, with Computershare Hong Kong Investor Services Limited acting as scrutineer.
Board participation All seven Directors—four executive and three independent non-executive—attended the meeting in person or via electronic means.
