ENM Holdings Proposes New Articles of Association to Enable Treasury Share Regime and Hybrid Meetings

ENM Holdings Limited announced that its board will seek shareholder approval to adopt a new Articles of Association at the forthcoming annual general meeting (AGM).

Key amendments include:

1. Alignment with the amended Hong Kong Companies Ordinance to implement a treasury share regime for Hong Kong-incorporated listed companies.

2. Formal authorization for the company to conduct general meetings in hybrid or fully electronic formats and to introduce an implied-consent mechanism for disseminating corporate communications via its website.

3. Housekeeping and administrative updates to streamline the existing Articles.

A special resolution covering these changes will be presented at the AGM. The company will dispatch a circular containing full details of the proposed amendments, the AGM notice and a proxy form in due course.

The board currently comprises one Executive Director (CEO Penny Soh Peng Crosbie-Walsh), one Non-executive Director (Chairman Hung Han Wong) and three Independent Non-executive Directors (Kin Wing Cheung, Imma Kit Sum Ling and Hin Fun Anthony Tsang).
