Xiaomi reports HKD 49.89 million share buyback and marginal new-share issue

Xiaomi Corporation disclosed in its 12 August 2026 Next Day Disclosure Return that it:

• Repurchased 1.90 million Class B weighted-voting-right (WVR) shares on 12 August 2026 via on-market transactions at prices between HKD 26.26 and HKD 26.34 per share, for an aggregate consideration of HKD 49.89 million. The average purchase price was approximately HKD 26.29. • These shares are designated for cancellation, lifting total buybacks awaiting cancellation—executed between 21 July and 12 August 2026—to 16.52 million shares, equivalent to about 0.06 % of the company’s issued share capital.

Repurchase mandate utilisation • Since the annual general meeting on 2 June 2026, Xiaomi has repurchased 100.14 million shares, representing 0.39 % of the 25.76 billion shares outstanding at that mandate date. The mandate permits repurchase of up to 2.58 billion shares. • In line with Hong Kong listing rules, Xiaomi is subject to a moratorium on new share issues or treasury-share disposals until 11 September 2026.

Minor share issuance • On the same day, Xiaomi issued 1,000 new Class B shares to an employee under a share-based incentive scheme at HKD 2.70 per share, expanding the Class B share count by 0.000004 %. • Post-issuance, Class B shares rose to 21.33 billion, while total issued shares (excluding treasury shares) increased marginally to 25.76 billion, comprising 4.43 billion Class A and 21.33 billion Class B shares.

Capital structure impact The ongoing buyback programme is gradually reducing Xiaomi’s share base, though the latest 1,000-share issuance has an immaterial effect. All repurchases have been executed in compliance with Hong Kong Stock Exchange regulations, according to the company’s filing.
