Milan Station Holdings Limited announced two disposals of BFB Health Limited shares that together qualify as a discloseable transaction under Chapter 14 of the Hong Kong Listing Rules.
On 20 April 2026, the company sold 14.00 million BFB Health shares for HK$6.30 million at an average price of HK$0.45 per share. On 10 August 2026, it disposed of a further 10.09 million shares for HK$4.94 million at HK$0.49 per share. Aggregate proceeds reached HK$11.24 million and Milan Station now holds no BFB Health shares.
Management expects to recognise an unaudited gain of approximately HK$7.00 million, calculated as the difference between total consideration and original investment cost before transaction expenses. The cash proceeds have been earmarked for general working capital, procurement of higher-end luxury inventories to adjust the product mix, and future investments, with full utilisation targeted before 30 September 2026.
The board cited recent market performance, liquidity considerations, macro-economic conditions and portfolio optimisation as key factors behind the timing of the sale. Directors, including independent non-executive directors, consider the transaction terms fair and reasonable and in the best interests of shareholders.
Because the combined applicable percentage ratios exceeded 5% but were below 25%, the aggregated disposals constitute a discloseable transaction, triggering only reporting and announcement requirements.
BFB Health reported audited revenue of HK$33.12 million and a net loss of HK$19.99 million for the year ended 31 December 2025. Milan Station remains focused on its core retail business in handbags, fashion accessories, embellishments, and spa and wellness products.
