2026年7月20日，蓝思科技股份有限公司（06613）召开第五届董事会第十六次会议，并通过两项与《2026年A股限制性股票激励计划》相关的决议。
一、调整激励计划关键参数 1. 首次授予的激励对象人数由2,284名调整为2,258名。 2. 首次授予的限制性股票总数量保持不变，其中第一类限制性股票17,113,932股，第二类限制性股票68,456,068股。 3. 因2025年年度权益分派已实施，授予价格由20.36元/股调整为19.91元/股，调整公式为P=P0-V，其中P0为调整前价格，V为每股派息额0.45元。
二、确定首次授予事项 公司董事会确认2026年7月20日为首次授予日，向2,258名激励对象授予限制性股票78,633,700股，其中： • 第一类限制性股票15,726,740股 • 第二类限制性股票62,906,960股
三、表决情况 上述两项议案均获六票同意、零票反对、零票弃权通过。作为激励对象之一的董事饶桥兵先生已回避相关议案表决。
公司表示，除激励对象、授予数量及授予价格的调整外，激励计划的其他内容与2026年第二次临时股东大会审议通过的方案保持一致。
