康诺亚生物医药科技有限公司（Keymed Biosciences Inc.）4月15日发布补充公告称，已与一家大型、独立上市的全球制药公司就出售旗下Ouro Medicines的少数股权签署并购协议，整体交易对价由首付款及或有里程碑付款组成。
首付款规模为约2.5亿美元，将在交易完成时支付给Ouro Medicines现有股东；若后续临床及监管里程碑全部达成，康诺亚还可额外获得约70百万美元里程碑付款。
财务影响方面，公司预计在收到首付款并完成交割后，确认除税前出售净收益约2.4亿美元；如全部里程碑条件达成，预计累计除税前收益可达约3.1亿美元。
交易完成需满足多项常规先决条件，包括获得相关监管审批。目前公司预计完成时间为2026年内，协议最迟截止日期为2026年9月22日，且可协商延长至2027年3月22日。
资金用途方面，康诺亚计划在收到款项后3年内分配：约30%用于核心产品商业化，约70%用于CM512、CM518D1、CM313及CM336等管线的研发，从而补充现金储备并加速后续产品推进。
公告显示，董事会认为，该交易对价经过充分谈判，条款公平合理，符合公司及股东整体利益。
