Bulletin Express
Jul 10

China Merchants Bank Co., Ltd. (CM Bank) has implemented a senior management change, appointing Kwan Sau In as joint company secretary effective 10 July 2026. Kwan replaces Ho Wing Tsz Wendy, who resigned on the same date due to a change in work arrangements. Ho confirmed she has no disagreements with the board, and no other matters require shareholder or regulatory attention.

Kwan is a senior manager of Company Secretarial Services at Tricor Services Ltd. With more than 12 years of corporate secretarial and compliance experience for Hong Kong–listed, multinational, private and offshore companies, she is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). Kwan holds a master’s degree in Chinese Law from The University of Hong Kong and meets the Hong Kong Stock Exchange’s professional qualification requirements for company secretaries. Her term will run until the end of the bank’s 13th board session.

Peng Jiawen will continue in his role as joint company secretary. The Hong Kong Stock Exchange has confirmed Peng’s compliance with the qualification standards under Listing Rules 3.28 and 8.17, eliminating the need for any further waiver previously granted in April 2023.

The board expressed appreciation for Ho’s contributions during her tenure. CM Bank’s current board comprises one executive director, seven shareholder (non-executive) directors and five independent non-executive directors.
