XINYUAN PM removes three directors, appoints two independent directors and restores HKEX listing compliance

XINYUAN PM announced a major board reshuffle effective 30 April 2026. Executive director Feng Bo, non-executive director Tian Wenzhi and independent non-executive director Zhao Xia were removed under Article 16.18(f) of the company’s amended and restated articles of association. The action was taken by written notices signed by at least three-quarters of the incumbent directors.

Concurrently, the board appointed two new independent non-executive directors. Benson Leung, a seasoned finance executive and former PwC partner, becomes an INED and chair of the audit committee; Liao Geng-Yue, a veteran of the technology sector, joins as an INED and member of the remuneration committee. Both have three-year appointments commencing 30 April 2026 and each will receive an annual director’s fee of HK$0.12 million.

Committee roles have been realigned: • Audit Committee – Benson Leung (chair), Hou Kaai Wern and Lan Ye. • Remuneration Committee – Ling Chenkai (chair), Hou Kaai Wern and Liao Geng-Yue. • Nomination Committee – Shen Yuan-Ching (chair), Li Jingmei Jessica and Ling Chenkai.

With the new appointments, XINYUAN PM now meets Hong Kong Listing Rules 3.10(2), 3.21 and 3.25, ensuring at least one director with professional accounting expertise, a three-member audit committee, and a remuneration committee with a majority of independent non-executive directors.
