2026年7月17日，升辉清洁集团控股有限公司（02521）公告称，公司已与寒树资本（北京）有限公司签署一份无法律约束力的《合作意向框架协议》，拟在三方面开展合作：
1. 设立并购基金，目标为收购中国水环境集团有限公司的股权；
2. 设立合资公司A，合作开展人工智能驱动的智能水务管理与运营项目，为寒树资本提供的水资源项目提供智能供水管理解决方案及优质饮用水解决方案；
3. 设立合资公司B，开发水及饮料类别的自主品牌产品线，包括瓶装水、冰镇饮料及直饮水，并拓展至相关市场。
公告指出，相关基金和两家合资公司的具体设立细节仍待双方进一步磋商，并以日后签订的正式协议为准。董事会强调，上述框架协议并无法律约束力，其所载意向未必会付诸实施。
公司提醒股东及潜在投资者于买卖公司证券时应审慎行事。
