Auto Italia Holdings Limited (the Company, stock code: 720) announced the appointment of Mr. Zhang Kun as an executive director, effective from 4 February 2026.

Mr. Zhang, aged 45, holds a Bachelor of Science in Business Administration with a focus on management from the University of Central Missouri, obtained in December 2004. He has over 20 years of experience in the financial industry, having served at Merrill Lynch, Pierce, Fenner & Smith Incorporated., Ameriprise Financial, Inc., Chesapeake Investment Management LLC, Sun Capital Management LLC, and Pacific Gate Capital Management, LLC. Since July 2020, he has been managing director of ZH Investments LLC. He also held roles at subsidiaries of B-On Global S.à r.l. in Asia and currently serves as co-chief executive officer of B-ON Global S.à r.l.

On 22 January 2026, B-On Global S.à r.l. entered into a conditional agreement to acquire directly and indirectly a total of 1,300,000,000 shares in the Company, representing approximately 21.34% of its issued share capital as of the date of the announcement. Mr. Zhang does not hold any equity interest in B-ON Global S.à r.l. as of the date of the announcement.

According to the service agreement, Mr. Zhang’s term is three years starting from 4 February 2026, subject to retirement and re-election at the next annual general meeting, and he is entitled to receive an annual director’s fee of HK$600,000. There is no other information requiring disclosure pursuant to relevant Listing Rules regarding his appointment, and the Board extends its welcome to Mr. Zhang in his new role.
