DIDA INC Anticipates Public Float Restoration by End of May 2027

DIDA INC (02559) has released an announcement stating that, after assessing the historical trading liquidity of its shares on The Stock Exchange of Hong Kong Limited, the current market price of the shares, the expected timeline for engaging placement agents, identifying potential investors, and negotiating and finalizing relevant transaction terms and conditions, as well as the anticipated period required to obtain shareholder approval for adopting a share award scheme under Chapter 17 of the Listing Rules, the company currently expects its public float to be restored by the end of May 2027 to ensure compliance with Rule 13.32B of the Listing Rules.

Simultaneously, the offeror and the company will persist in exploring other viable measures to facilitate the restoration of the company's public float, which may include, but is not limited to, the offeror selling shares in both the open market and through off-market transactions. As long as the company remains non-compliant with Rule 13.32B(2) of the Listing Rules, it will adhere to the relevant disclosure requirements under the Listing Rules and refrain from taking any actions that could further reduce its public float percentage, unless the company can demonstrate exceptional circumstances warranting otherwise.
