Charmacy Pharmaceutical Co., Ltd. (Stock Code: 2289) has scheduled an Extraordinary General Meeting (EGM) on 12 December 2025 at 3:00 p.m., to be held on the second floor of No. 33, Liyu Street, Dongchong Town, Nansha District, Guangzhou, Guangdong Province, the PRC. During the EGM, shareholders will consider and vote on several key items.

One of the central proposals involves a new framework loan agreement, dated 20 October 2025, with Jiangyao Group Co., Ltd. This agreement sets out a three-year loan facility, with a maximum limit based on each party’s statutory approvals. Another resolution seeks to authorize a designated executive director to finalize the commercial terms and sign necessary documents pursuant to this agreement.

The meeting will also address the appointment of Pan-China Certified Public Accountants LLP as the company’s auditors for the year ending 31 December 2025, subject to shareholder approval. In addition, there is a proposal to amend the articles of association and related procedural rules for general and board meetings. The amendments aim to update the company’s governance documents.

According to the announcement, the register of members will be closed from 9 December 2025 to 12 December 2025 (both days inclusive). Shareholders named in the register by 8 December 2025 will be entitled to attend and vote at the EGM. Voting results will be released on the websites of the Stock Exchange of Hong Kong Limited and the company, in line with the applicable listing rules.
