南华集团控股授予董事股份购回授权，规模达已发行股本一成

南华集团控股（股票代码：00413）宣布，将在即将召开的股东周年大会上寻求股份购回授权。根据公告，该授权最高可回购公司已发行股本（不包括库存股）总数的10%，即最多约1,322,130,217股。公司目前合计已发行约13,221,302,172股。

公告显示，若股东大会批准，该购回计划将在下届股东周年大会结束前或股东撤回授权前有效。公司可使用可合法用于回购的资金来源（包括公司溢利或根据适用法律从股本中拨付的款项）进行股份购回。根据上市规则及开曼群岛有关法规，董事会仅会在认为回购行动不影响公司营运资金及财务状况的情况下行使相关权力。

公司指出，此次股份购回意在提升公司资产净值及每股盈利，董事会认为回购符合公司及股东的整体利益。历史股价数据显示，过去十二个月内，南华集团控股股价最高曾至每股0.055港元（2025年9月），最低曾至0.025港元（2026年4月）。

此外，股东周年大会订于2026年6月16日召开，股份过户登记将于2026年6月10日至16日暂停办理。董事会提醒股东留意相关时间安排，并表示将尽快对回购计划的执行情况作出公告。公司强调，回购授权一旦获批，回购股份的具体时机和规模将视市况与资金状况而定。
