7月30日，澜沧古茶(06911.HK)发布内幕消息公告称，董事长兼执行董事杜春峣女士与王娟女士已于2026年7月30日签署《一致行动协议解除协议》，自签署之日起终止双方于2022年4月16日订立的《一致行动协议》，两人不再构成一致行动关系。
终止协议生效后，王娟女士及其关联方在完全退出公司股权前，无条件且不可撤销地放弃其直接或间接持有股份的表决权及提案权；同时承诺不以任何方式单独或与他方共同谋求公司控制权，也不协助他人取得控股地位。
解除前，杜春峣女士、王娟女士、石跃先生、石艾灵女士及广州天速信息科技有限公司因一致行动被视为澜沧古茶的控股股东集团，共计持有45,323,335股内资股，占已发行股本约30.22%。解除后，该控股股东集团不再存在。
股权变动后，杜春峣女士持有及被视为持有的股份降至25,378,436股内资股，约占已发行股本16.92%；王娟女士持有及被视为持有的股份为19,944,899股内资股，约占已发行股本13.30%。
截至公告日，公司已发行股份总数为150,000,000股，其中内资股94,500,000股，H股55,500,000股。
公司董事会成员包括：执行董事杜春峣女士、周信忠先生、石一景女士、付刚先生；非执行董事刘佳杰先生；独立非执行董事黄琳女士、汤章亮先生及杨克泉博士。
