北京城建设计发展集团股份有限公司(1599)于2026年2月27日发布公告，指其公众持股量约为23.70%，低于香港联合交易所有限公司上市规则第8.08条所规定的最低25%要求。公司现有股权结构显示，总发行股本为1,348,670,000股，其中内资股占71.24%，H股占28.76%。在H股持股中，5.06%为非公众持有，公众持股比例则为23.70%。
公告称，公司已意识到公众持股量不足的问题，正与持有公司内资股的少数股东探讨以内资股全流通方式转换为H股的可行性。目前，公司已完成对内资股全流通事项法律顾问的委聘，并获部分股东的口头同意。公司计划在相关股东完成内部治理程序且符合全流通资格后，及时向中国证券监督管理委员会提交全流通申请，并预计在提交申请后十二个月内完成转换。
同时，公司表示将通过每月定期公告的形式，持续向股东及市场披露恢复公众持股量的执行进展，以尽快符合上市规则的最低公众持股要求。
