Top Education Group Limited reported no changes to its share capital structure for June 2026, keeping total issued ordinary shares at 2.17 billion with no treasury shares on record. The company confirmed that it continued to meet the Hong Kong Main Board’s minimum public-float requirement of 25%.
Share-based incentives remained inactive during the month. All 18.93 million options granted under the 2018 Share Option Scheme were outstanding, but none were exercised, cancelled or lapsed, resulting in zero new shares issued and zero funds raised (AUD 0). The scheme still permits the potential issue of up to 251.34 million shares.
Under the Pre-IPO Performance Rights Plan adopted in June 2017, a further 124.91 million shares (120.32 million and 4.59 million from two separate grants) could be issued in future, though no rights were converted in June.
No warrants, convertibles, share buy-backs, or other equity instruments were outstanding or transacted during the period. The Australian-incorporated company reiterated that it operates without an authorised share-capital limit or par-value concept under local corporate law.
The board, via Joint Company Secretary Yan Li Yu, affirmed that all statutory and listing-rule obligations were met for the month under review.
