Envision Greenwise Announces RMB380.00 Million Intelligent Computing Server Purchase; Deal Classified as Very Substantial Acquisition

On 10 September 2026, Envision Greenwise Holdings Limited approved a proposal for its wholly owned subsidiary, Shanghai Yovole Cloud Calculation Co., Ltd., to acquire more than 100 high-performance NVIDIA GPU servers from Shanghai Shunquan Technology Co., Ltd. for RMB380.00 million (approximately HK$439.70 million, tax included). The vendor is ultimately controlled by Taiwan-listed Inventec Corporation and is regarded as an independent third party under Hong Kong Listing Rules.

Payment terms stipulate 20% of the consideration (RMB76.00 million) within 14 days of signing, with the remaining 80% (RMB304.00 million) due before delivery. Servers are scheduled for delivery within seven days after full payment, backed by a 36-month warranty.

The purchase will be aggregated with the RMB1.29 billion August 2026 server order and the recent Intelligent Computing Business Acquisition. When combined, the transactions exceed the 100% threshold for the highest applicable percentage ratio, re-classifying the combined deals as a “very substantial acquisition” under Chapter 14 of the Hong Kong Listing Rules. Consequently, shareholder approval is required at an extraordinary general meeting (EGM); no shareholders are required to abstain from voting.

Envision Greenwise states the servers will support newly secured customer contracts and expand its Intelligent Computing Business, which currently supplies 1.5 MW of computing power and has contracted an additional 7.0 MW. Subject to hardware sourcing and further customer agreements, total capacity could rise to 16.0 MW, with management projecting that the segment could contribute up to 40% of group revenue for the fiscal year ending 31 March 2027.

A circular containing detailed information on the proposed purchase, the August server order, and the intelligent computing acquisition—along with the EGM notice—will be dispatched to shareholders no later than 2 October 2026.
